Payment Terms

How Verfend quotes, invoices and is paid; these terms accompany the Service Agreement (Document 03) and the quote in Annex A (Proposal & Statement of Work, Document 02).

1. Pricing

1.1. Services are quoted as a fixed price for a defined scope (Annex A), or at a day rate of BRL ___ / USD ___ / EUR ___ per day where agreed.

1.2. The "from" prices shown on the website are starting points only; the quote in Annex A prevails.

1.3. The quote states what is and is not included. Work beyond it requires a written change order.

1.4. Validate, Assess, Resolve and Monitoring are priced separately. A retest is included within Resolve for the findings it covers; any further retests are quoted separately.

2. Currency

2.1. Prices are quoted in BRL for clients in Brazil and in USD or EUR for international clients.

2.2. The currency is fixed at the quote. Any bank, processing, exchange or FX-conversion fees are borne by the Client.

3. Taxes (Brazil)

3.1. Taxes apply according to Verfend's Brazilian tax regime. Under Simples Nacional, federal taxes are collected in a single document (DAS); the municipal service tax (ISS, Recife) applies to services rendered.

3.2. Export of services (international clients) may qualify for ISS exemption and is subject to Brazilian foreign-exchange rules; Verfend arranges the required exchange/registration for inbound payments. The invoice states the treatment used.

3.3. A nota fiscal de serviço eletrônica (NFS-e) is issued through the Prefeitura do Recife where the regime requires it.

4. EU clients (EUR / VAT)

4.1. EU clients are invoiced in EUR. Prices are exclusive of VAT.

4.2. Verfend is established in Brazil, outside the EU. For B2B supplies, the reverse-charge mechanism may apply where relevant: the Client provides its VAT ID and accounts for any VAT due in its own member state.

4.3. The invoice states the treatment used — e.g. "VAT reverse-charge; customer to account for VAT" / other wording per the Provider's tax advice.

5. Payment schedule

5.1. Standard project terms:

5.2. Invoices are due within 14 days of the invoice date.

6. Monitoring subscription

6.1. Monitoring is billed monthly in advance (see the Monitoring Terms, Document 10).

6.2. It is cancellable by either party with 30 days' written notice.

6.3. No refund is given for the current paid period on cancellation; the service continues to the end of that period.

7. Payment methods

7.1. Clients in Brazil (BRL): PIX to PIX key or bank transfer (TED) to name — bank, agência, conta.

7.2. International clients (USD/EUR): Wise / Payoneer / international wire; account details are provided on the invoice.

7.3. An official invoice / NFS-e is issued for every payment.

8. Late payment

8.1. Overdue amounts may accrue juros de mora of 1% per month, correção monetária, and a fine (multa) of 2%, as permitted by Brazilian law.

8.2. Verfend may suspend work on overdue invoices after 7 days' written notice.

9. Cancellation & refunds (projects)

9.1. If the Client cancels before work begins, the deposit covers scheduling and preparation and is non-refundable up to 25% of the quote; the remainder is refunded.

9.2. If the Client cancels mid-engagement, or narrows or revokes the Authorisation to Test (Document 04), it pays for work properly performed to that date and nothing more; the scheduling fee in §9.1 applies only where the engagement is cancelled before work begins.

9.3. If Verfend cannot deliver for its own reasons, prepaid amounts for undelivered work are refunded.

10. Expenses

Third-party costs (e.g. paid tooling or specialist licences) are agreed in writing in advance and invoiced at cost.
